Linguei Creator Program — Terms & Conditions

These Terms are an agreement between Amorim Labs LLC ("Linguei," "we," "us"), a Florida limited liability company, and the person or entity enrolling in the Linguei Creator Program ("Creator," "you"). By applying to or participating in the Program, you accept these Terms.

1. The Program

The Linguei Creator Program lets approved creators promote the Linguei app and website using a personal referral code and/or link. When a person you refer becomes a paying Linguei subscriber, you earn a one-time commission as described in Section 4.

2. Eligibility and enrollment

(a) You must be at least 18 years old, able to enter a binding contract, and able to receive payments through PayPal. When your total payouts reach the level described in Section 6(a), you must also be able to provide valid tax documentation (IRS Form W-9 or Form W-8BEN).

(b) Enrollment requires an application. We may approve, reject, suspend, or remove any participant at our sole discretion, at any time, with or without cause.

(c) You must provide accurate, current information (including payout and tax information) and keep it updated. One account per creator.

(d) Employees and contractors of Amorim Labs LLC and their household members are not eligible.

3. Independent contractor

You participate as an independent contractor. Nothing in these Terms creates an employment, agency, partnership, joint venture, or franchise relationship. You have no authority to act for or bind Linguei in any way, and you may not present yourself as an employee, agent, or official representative of Linguei.

4. Commissions

(a) Amounts. The current commission schedule is: US$ 4.00 for a referred monthly subscription and US$ 20.00 for a referred annual subscription. We may change the schedule prospectively at any time; changes never reduce commissions already validly earned.

(b) Qualified referral. A commission is earned only when: (i) a new subscriber (a person who has never had a Linguei subscription) enters your code or uses your link before subscribing; (ii) the subscription is actually paid (a free trial earns nothing until it converts to a paid charge); and (iii) the payment is verified by our payment processors (Apple App Store or Stripe).

(c) One commission per subscriber, ever. Renewals, plan changes, upgrades, resubscriptions, and repeat purchases do not generate additional commissions.

(d) Attribution. Attribution is determined solely by our systems (verified transaction records). If two codes conflict, the code entered by the subscriber in the app or at checkout controls. We do not use third-party tracking; our records are final absent manifest error.

(e) Discounts. Your code may carry a subscriber-facing discount that we define. Discount amounts and mechanics can change or be discontinued at any time.

5. Commission lifecycle, holds, refunds and clawbacks

(a) Waiting period. Commissions become available for withdrawal only after we have actually received the corresponding funds from Apple or Stripe. Apple remits funds roughly 34–63 days after a sale; Stripe funds are held for at least 60 days after the charge. Until then, commissions appear as "pending."

(b) Refunds cancel commissions — at any time. If the referred subscription is refunded, charged back, disputed, revoked, or otherwise unwound — even after your commission was paid out — the commission is cancelled. If it was already paid to you, the amount becomes a debit on your account and is deducted from your future payouts (and, if your account ends with a negative balance caused by fraud, we may invoice you for it).

6. Payouts

(a) Payment details and tax forms. Before your first payout you provide your legal name, address, and PayPal account, with the required certifications, and keep them accurate. While your total lifetime payouts are US$ 1,000 or less, no tax form is required. Once a requested payout would take your lifetime total above US$ 1,000, you must complete the applicable tax form before we can continue paying you: IRS Form W-9 if you are a U.S. person or entity (using an SSN, ITIN, or EIN), or Form W-8BEN if you are a foreign individual. Payouts pause until the form is complete. Tax information is stored encrypted and used solely for tax compliance. PayPal, as the payment processor, additionally handles its own payment reporting (e.g., IRS Form 1099-K).

(b) Minimum and method. Payouts are made in U.S. dollars, upon your request, once your available balance reaches the minimum stated in your dashboard, using the payout methods offered there. Third-party transfer fees and currency conversion are borne by you. You are solely responsible for the accuracy of the payout details you provide: a payment sent to the PayPal account you entered is deemed paid, and we are not liable for transfers that fail, are delayed, or are misdirected because of incorrect, incomplete, or outdated information you supplied.

(c) Status changes. Notify us if your tax status changes (for example, you become or cease to be a U.S. person) — the applicable form may change, and payouts may pause until your documentation is updated.

(d) Taxes are yours. You are solely responsible for all taxes on amounts paid to you. We will report and withhold where the law requires — including filing IRS information returns (e.g., Form 1099-NEC) when your annual payments meet the legal reporting threshold.

(e) Accuracy freeze. We may pause payouts while investigating suspected fraud, a payment dispute, mismatched tax/identity information, or a legal requirement.

7. Marketing rules (what you may and may not do)

(a) Tell the truth. Only make claims about Linguei that are true and reflect features the app actually has. Never promise results ("fluent in 30 days"), guaranteed earnings, or anything we don't promise ourselves.

(b) Disclose the relationship. You must clearly disclose your material connection to Linguei in every promotion, as required by the U.S. FTC Endorsement Guides — e.g., "#ad", "paid partnership", "I earn a commission."

(c) Prohibited: self-referrals or purchases with your own code (direct or through others); paying, rewarding, or incentivizing people to sign up; spam (email, DM, comment or messaging-app spam); cookie stuffing or forced clicks; bidding on "Linguei" or confusingly similar terms in search ads; registering domains, social handles, or app-store listings containing "Linguei"; posting your code on coupon/deal aggregator sites; misrepresenting the size of the discount; promoting to children; and any unlawful, deceptive, hateful, or adult-content placement.

(d) Brand use. We grant you a limited, revocable, non-exclusive license to use the Linguei name, logo, and approved assets solely to promote Linguei during your participation. All goodwill belongs to us. The license ends when your participation ends.

(e) Content you publish about Linguei may be re-shared by us (with credit) in our own channels; you grant us a non-exclusive, royalty-free license for that use.

8. Fraud

Any fraud — fake signups, self-referrals, stolen payment methods, manipulation of attribution, misleading advertising, or breach of Section 7 — results, at our discretion, in: cancellation of all unpaid commissions (including "available" balance), immediate termination, recovery of amounts already paid, and, where applicable, referral to law enforcement.

9. Data

(a) You will receive only aggregate statistics about your referrals (counts, conversion, commission amounts). You will never receive subscribers' personal data, and you must not attempt to identify individual subscribers.

(b) Your own data is processed under the Linguei Privacy Policy. Tax forms are stored securely and used only for legal compliance.

10. Term, changes and termination

(a) These Terms apply while you participate. We may modify these Terms, the commission schedule, or any part of the Program — or end the Program entirely — at any time. Material changes take effect upon notice to your registered email or dashboard; continued participation is acceptance.

(b) You may leave the Program at any time.

(c) On termination without cause (by you or us), commissions already validly earned follow the normal lifecycle of Section 5 and are paid when they become available. On termination for cause (fraud or breach), Section 8 applies and unpaid amounts are forfeited.

(d) Sections 3, 5(b), 6(d), 8, 9, 11, 12 and 13 survive termination.

11. Disclaimers and limitation of liability

THE PROGRAM IS PROVIDED "AS IS." WE DO NOT GUARANTEE ANY LEVEL OF REFERRALS, EARNINGS, UPTIME, OR THAT TRACKING WILL BE ERROR-FREE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMORIM LABS LLC'S TOTAL AGGREGATE LIABILITY ARISING OUT OF THE PROGRAM IS LIMITED TO THE COMMISSIONS PAID TO YOU IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, AND WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS.

12. Indemnification

You will defend and hold harmless Amorim Labs LLC and its members, officers, and agents from any claim, fine, or damage (including reasonable attorneys' fees) arising from: your content and promotions; your breach of these Terms or of any law (including advertising-disclosure and tax law); or your violation of third-party rights.

13. Governing law and disputes

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law rules. Any dispute that cannot be resolved informally within 30 days will be resolved by binding individual arbitration administered by the American Arbitration Association under its rules; you waive any right to a class action or jury trial. Nothing prevents either party from seeking injunctive relief for IP misuse or fraud in a court of competent jurisdiction. The English version of these Terms controls over any translation.

14. General

Entire agreement regarding the Program; if a clause is unenforceable, the rest stands; failure to enforce is not a waiver; you may not assign these Terms; we may assign to a successor. Notices go to your registered email.
